You've got an awfully lot of programs running in the background.
Why not eliminate a bunch in MSCONFIG? Use as a guide.

Well, does you computer run any faster? Do you reboot a couple times a day? What problems still exist?

well the modem will disconnect then when it reconnects it shows that its connected at 46,666bps but goes really slow and after a while it will disconnect like 5 times in a row and then it says the modem is unreachable. once i restart it, its fine for a couple hours then it starts the same thing over again

Do you have Call Waiting? Is there static on the phone line? Have you updated the Modem drivers?

Reboot, get a fresh connection and run a .Write down the results then run another after your connection seems to start lagging.Make sure you dont have anything else downloading, running each time and compare the difference in the 2 test. Also as brad suggest, make sure you have the newest drivers avaliable for your modem.
